INTRODUCTION

Welcome to the Pledge 1% Community Site (“Community Site” or “Site”), a fiscally sponsored project of Tides Center (a California nonprofit public benefit corporation) (“Pledge 1%,” “us” and “we”). Your use of the Community Site is subject to these Terms of Service (“Community Terms” or “Terms.”), the Community Guidelines, the Pledge 1% Terms of Service, and the Pledge 1% Privacy Policy. In the event of a conflict between the Community Terms, the Pledge 1% Terms of Service, the Privacy Policy, or the Community Guidelines, these Community Terms shall prevail, but only with respect to your use of the Community Site.

PLEDGE 1% COMMUNITY PURPOSE AND STATEMENT OF VALUES

The Pledge 1% Community is a peer-to-peer channel, and the best place to gain insights, collaborate and innovate for people in the social impact space. Although this community is designed for Pledge 1% members, we welcome anyone with an interest in social impact to participate in certain areas of the site, including public areas.  We want the Community to be a welcoming place where participants can collaborate, share experiences, provide feedback, guidance and advice, with the overall goal of building, supporting, and enhancing the Pledge 1% movement. As we discuss in the Community Guidelines, for this space to flourish, participants’ engagement must be respectful, courteous, relevant, protective of privacy, and promote a positive user experience.

USER ENGAGEMENT: CONTENT AND CONDUCT

As a user of the Community Site, you will have the opportunity to post, upload or otherwise share content including but not limited to text, images, graphics, photographs, audio clips, and video clips (“User-Generated Content”). This section of the Terms explains the requirements and rules relating to your engagement with the Site, including any User-Generated Content. You must adhere to these rules. You, and not Pledge 1%, are responsible for your User-Generated Content regardless of whether you are the creator of the content or the content was created by someone else. As discussed in the “Disclaimer” section of the Pledge 1% Terms of Service, Pledge 1% makes no claims, guarantees, or representations whatsoever with respect to User-Generated Content, including, its accuracy, completeness, legality of the User-Generated Content.

Ownership and Licenses

In these terms, we will use the term “Original Content” to refer to content that you created; “Third-Party Content,” to refer to content you share that was created by others; and “User-Generated Content” to refer collectively to Original Content and Third-Party Content. You will retain ownership of your Original Content, but by sharing it you are giving other members of the Community the right to use it without restriction. You will only post Third-Party Content if you have permission to do so. By posting Third-Party Content, you represent that you have the full legal right to do so, which includes allowing Pledge 1% and other users of the Site to use your User-Generated Content without restriction; that you are not violating any third-party licenses, non-disclosure or other agreements; and that you are not infringing on the proprietary right of any party, including patent, trademark, copyright, trade secret, or right of publicity.

License Grant to Us: As the host of User-Generated Content, we need the legal right to use it, for example, distribute it, share it with others, revise it, store it, incorporate it into our publications, etc. You acknowledge that your User-Generated Content may be edited, removed, modified, published, transmitted, and displayed by us, and you waive any rights you may have to disagree with our actions in this regard. You grant us (or any third-party we designate) a perpetual, nonexclusive, royalty-free, world-wide, sublicensable license to your User-Generated Content, including, without limitation, to use, copy, distribute, publish, display, excerpt, transmit, publicly display or perform, create derivative works of, index, host, cache, tag, encode, modify and adapt (including without limitation the right to adapt to streaming, downloading, broadcast, mobile, digital, thumbnail, scanning or other technologies) in any form or media now known or hereinafter developed.

Content and Conduct Rules

To promote the Community values of respect, courtesy, and relevance, you agree that you will not:

  • harass, abuse, threaten other users or Pledge 1%, including its employees, officers, directors, and agents;
  • use libelous or defamatory language;
  • discriminate on the basis of race, religion, national origin, gender, sexual preference, age, ethnicity, or any other protected status;
  • engage in hate speech;
  • use offensive language;
  • knowingly provide misleading information;
  • glorify or gratuitously depict violence;
  • otherwise violate law;
  • unreasonably duplicate posts or post spam messages;
  • use the Site in a commercial manner such as a forum for advertising, promotional activity, any form of recruitment or solicitation, including charitable appeals.

To promote a positive user experience, you agree not to post any file or link to a file that contains viruses, corrupted files, “Trojan Horses,” or any other contaminating or destructive features that may damage someone else’s computer. You will also not interfere in any way with the operations of the Community, with a fellow user’s message box, including but not limited to mail or “post” bombing, news bombing, other flooding techniques, deliberate attempts to overload a system and broadcast attacks, or attempts to avoid messaging blocking. You will not impersonate another person or misrepresent your affiliation with an entity, including, but not limited to, Pledge 1%.

To promote the protection of privacy, you agree that you will not post private, confidential, or proprietary information about third parties, including other users of the Community Site and Pledge 1% employees. We also encourage you to avoid disclosing private information about yourself as part of your contributions. Private information includes, but is not limited to, personal phone numbers or addresses; personal email addresses; social security numbers; or date of birth.

Pledge 1% will not screen User Generated Content before it is posted. However, Pledge 1% reserves the right to remove without notice to you User-Generated Content that, in our sole discretion, violates these Terms or any other applicable terms of service. We also reserve the right to, in our sole discretion and without notice, suspend or expel users of the Site for violation of these Terms or any other a applicable terms of service.

PLEDGE 1% CONTENT

  • License. Subject to these Terms, Pledge 1% grants you a non-transferable, non-exclusive, revocable, limited license to use the Site and Services for your personal use. The documents, information and content available on the Site or as part of the Services (collectively, the “Site Content”) are protected by copyright laws throughout the world.  Pledge 1% grants you a limited license to reproduce portions of the Site Content for the sole purpose of reviewing the Site Content as a current or potential partner of Pledge 1%.
  • Certain Restrictions. The rights granted to you in these Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site or Services, whether in whole or in part, including any Site Content; (b) you shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Site or Services, including the Site Content; (c) you shall not access the Site or Services, including the Site Content, in order to build a similar or competitive website, product, or service; and (d) except as expressly stated herein, no part of the Site or Services, including the Site Content, may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means. All copyright and other proprietary notices on the Site or in the Services (including in any Site Content) must be retained on all copies thereof.

REGISTRATION AND USER PROFILE INFORMATION

You must be a human to create an Account. We do not allow accounts registered by “bots” or other automated methods. To create an account, you will provide log-in credentials by selecting a password and providing an e-mail address. You may also be asked to provide other registration information, which must be accurate and kept updated. In consideration of your use of the Community Site, you agree that all information provided in your profile is accurate, true, current, and complete, Pledge 1% may cancel your account if, in our sole discretion, we believe you are not in compliance with this requirement.

Each registration is for a single user—a person or legal entity–only. You are not allowed to share your registration login credentials or give your login credentials to anyone else. We may cancel or suspend your access to the Services if you share your login credentials. You are responsible for maintaining the confidentiality of your password.

You may not use a screen name or email address that is already being used by someone else, that impersonates another person, that violates the intellectual property or other rights of any person, that is vulgar or otherwise offensive, or that we reject for any other reason, in our sole discretion.

You consent to receive notifications from us electronically to the e-mail address you provide to us. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree that you have the ability to store such electronic communications such that they remain accessible to you in an unchanged form.

You may cancel your account at any time.

COPYRIGHT INFRINGEMENT

Pledge 1% is committed to complying with the Digital Millennium Copyright Act of 1998 (“DMCA”), Title 17 U.S.C. section 512, which is applicable to online service providers. If you are an owner of a work protected by copyright and you believe your rights have been violated, you may take advantage of certain provisions of the DMCA that lay out a process for reporting alleged infringements. Any copyright owner who has concerns about infringement on the Pledge 1% Community Site should provide written notification of their concerns to Pledge 1%’s Designated Agent. The content of the written notification must comply with the requirements of the DMCA. You may email such notification to members@pledge1percent.org. As stated in the “Ownership and License” section of these Community Terms, you are prohibited from posting content that violates the intellectual property or other proprietary rights of third parties. Under appropriate circumstances, Pledge 1% may suspend, disable or terminate the accounts of users who may be infringing upon the copyrights or other intellectual property rights of Pledge 1%, Pledge 1% Community members, or others. This includes taking such action if Pledge 1% has information indicating that a user is a repeat infringer, including if Pledge 1% receives multiple DMCA notifications about a Pledge 1% Community user.

UNAUTHORIZED USE

If your user identification or password(s) is compromised, or if you become aware of any unauthorized use of your account or other breach of security, you are responsible for promptly notifying us by sending an email to support@pledge1percent.org.

AGE

You must be 16 years of age or older to access the Pledge 1% Community Site, and the Site is not targeted at children under 16. If we learn of any user under the age of 13, we will terminate that user’s account immediately.
